1. Description of Service

Swuupi provides an automated price-tracking service that monitors product URLs submitted by users. We offer historical price data, automated email alerts, and market intelligence to help users make informed purchasing decisions.

We do not sell, resell, or broker products. We are not a party to any transaction between you and a retailer. Any purchase you make via a link provided by Swuupi is solely between you and the relevant third-party retailer.

2. Accuracy of Information & Liability

Swuupi acts strictly as an informational tool. While our engine strives for accuracy by regularly scanning retailer websites, we do not guarantee the accuracy, completeness, or timeliness of any pricing data.

Retailers may change prices, alter shipping costs, or run out of stock at any time without warning. Swuupi is not responsible if a product's price increases or sells out between the time an alert is sent and the time you attempt to purchase it.

We are not liable for pricing errors or "glitch prices" that a retailer ultimately refuses to honor. The final price and terms at the retailer's checkout always govern the transaction.

3. Subscriptions & Payments

Swuupi offers both a Free tier and a Premium subscription. Premium subscriptions are billed automatically on a recurring basis. You may cancel your subscription at any time via your account settings.

Upon cancellation, your Premium benefits will remain active until the end of your current paid billing cycle. We do not offer prorated refunds for partial months of use. All prices are stated inclusive of applicable VAT where required by law.

4. Affiliate Links & Monetization

To support the operation of our platform, Swuupi participates in various affiliate marketing programs. This means that if you click on a product link provided by Swuupi and make a purchase, we may earn a commission from the retailer. This comes at no additional cost to you and does not influence the objectivity of our price tracking data or our automated intelligence scores.

5. Acceptable Use

You agree to use Swuupi for your personal, non-commercial shopping purposes. You may not use automated scripts, bots, or scrapers to extract pricing data, intelligence scores, or user content from our platform.

You are responsible for maintaining the confidentiality of your account credentials. Swuupi reserves the right to terminate or suspend access to any account that abuses our server resources or violates these terms, with or without prior notice.

6. Intellectual Property

All content, features, and functionality on the platform—including but not limited to the Swuupi name, logo, software code, algorithm logic, and Fair Value mathematics—are the exclusive property of Swuupi and are protected by international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of our intellectual property without our express written consent.

7. Indemnification

You agree to defend, indemnify, and hold harmless Swuupi, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the platform.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Swuupi and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of profit, data, or goodwill—arising out of or in connection with your use of the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total amount paid by you to Swuupi in the twelve (12) months immediately preceding the event giving rise to the claim, or 100 DKK, whichever is greater.

9. Force Majeure

Swuupi shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, severe internet outages, or complete failure of third-party hosting infrastructure (e.g., AWS, Vercel).

10. Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of Denmark.

You agree that the courts of Denmark shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.

11. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any significant changes via email or a prominent notice on our website. Your continued use of the service following such modifications constitutes your acceptance of the revised terms.
